Leadership & Governance

The National Federation of Public Benefit Organizations (PBOs) – Kenya is governed by a strong, transparent, and accountable leadership structure that upholds the principles of democratic governance, integrity, and the rule of law.

Our governance framework is anchored in the Public Benefit Organizations Act, 2013, the Federation’s Constitution, and internationally accepted standards of good governance for civil society organizations.

Governance Structure

The Federation operates through the following governance organs:

1. General Assembly

The General Assembly is the supreme decision-making body of the Federation and comprises all registered member organizations.

Key responsibilities include:

  • Electing members of the Board

  • Approving policies, strategic plans, and major decisions

  • Providing oversight on the Federation’s direction and performance

2. Board of Directors

The Board of Directors provides strategic leadership, policy oversight, and fiduciary responsibility for the Federation.

Key roles of the Board:

  • Setting strategic direction and approving policies

  • Ensuring compliance with legal and regulatory requirements

  • Overseeing financial management and accountability

  • Appointing and supervising the Secretariat leadership

The Board represents diverse regions, thematic areas, and interests within the PBO sector to ensure inclusivity and balanced representation.

3. Board Committees

To enhance effectiveness, the Board operates through specialized committees, which may include:

  • Governance & Ethics Committee

  • Finance, Audit & Risk Committee

  • Programs & Policy Committee

  • Membership & Capacity Building Committee

These committees support focused oversight and informed decision-making.

4. Secretariat

The Secretariat is responsible for the day-to-day management and implementation of the Federation’s programs and activities.

Key functions of the Secretariat include:

  • Implementing Board-approved strategies and programs

  • Coordinating member services and stakeholder engagement

  • Managing operations, finances, and administration

  • Reporting to the Board and members
